Terms and Conditions

1. Acceptance of Terms

By accessing, registering for, or using the ProjectPal website, admin portal, or mobile application (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you are prohibited from using the Service.

These Terms form a legally binding contract between ProjectPal ("we", "us", or "our") and either you as an individual or the legal entity/organization ("Organization") on behalf of which you are accessing the Service.

2. Description of Service

ProjectPal provides a multi-tenant business-to-business (B2B) operational workspace for construction, field services, and contracting teams. The Service includes projects logistics boards, daily field reports (DFR) logs, time-tracking and timesheet modules, expense receipt uploads, and change order (AWF) workflows.

We reserve the right to modify, suspend, or discontinue any feature, module, or part of the Service at any time with or without notice.

3. Accounts and Security PINs

To access the Service's administrative dashboard, you must register an Organization account. You agree to provide accurate, current, and complete profile information during registration.

Security PINs & Credentials: Logins and certain sensitive procedures are protected by secure custom security PINs or account passwords. You are solely responsible for maintaining the confidentiality of your PIN, password, and account login details. You agree to immediately notify us of any unauthorized use of your credentials or breach of security.

User Responsibility: You are responsible for all activities and data entries that occur under your registered workspace or user profile.

4. Acceptable Use Policy

When using ProjectPal, you agree not to:

Violate any applicable local, state, national, or international laws or regulations.

Upload or transmit fraudulent, deceptive, or misleading information, including falsifying timesheet records, logged locations, or business expense receipts.

Interfere with or disrupt the security, integrity, or performance of the Service, our hosting databases, or networks.

Attempt to reverse engineer, copy, or redistribute the source code, layouts, and software structure of the ProjectPal portal.

Upload files that contain malware, viruses, or any other destructive programming code.

5. Subscription Fees & Payments

Pricing & Subscription: Access to certain administrative levels and multi-tenant modules is subject to recurring subscription fees. Fees are detailed on our pricing schedule or in individual organization contracts.

Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis. You authorize us to charge your registered payment method for all accumulated fees at the start of each billing period.

Non-Payment: If payment is not received or fails to clear, we reserve the right to restrict administrative access, suspend organization workspaces, or terminate the account after a 14-day notice period.

6. Intellectual Property & Data Ownership

ProjectPal Ownership: We retain all right, title, and interest in and to the Service, including the web portal, graphics, logos, icons, trademarks, databases, code files, and user interface styling.

Customer Data Ownership: The Organization retains full ownership rights to all information, files, and content uploaded or generated by its users. This includes Daily Field Reports (DFR), labor logs, shift timesheets, location stamps, AWF tracking data, and expense receipt files. By uploading content, you grant ProjectPal a limited, non-exclusive license to host, transmit, and store your data solely for the purpose of providing the Service.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ProjectPal makes no warranties, express or implied, regarding the reliability, uptime, accuracy, or suitability of the Service for any specific business outcome.

We do not warrant that the Service will be completely uninterrupted, timely, error-free, or secure, or that automated calculations (such as timesheet totals or reimbursement values) will be free from temporary software bugs.

8. Limitation of Liability

To the maximum extent permitted by law, ProjectPal, its developers, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes lost profits, loss of data, loss of business goodwill, or project delays arising from your use or inability to use the Service.

Our total liability for any claim under these Terms is strictly capped at the total amount paid by your Organization for the Service during the twelve (12) months preceding the event giving rise to the claim.

9. Governing Law

These Terms and any dispute arising from your use of the Service shall be governed by, and construed in accordance with, the laws of the jurisdiction in which ProjectPal's parent company is incorporated, without regard to conflict of law principles.

Any legal action or proceeding related to the Service must be brought exclusively in the competent courts of that jurisdiction.

10. Changes to Terms

We reserve the right to revise or update these Terms and Conditions at any time. When we make updates, we will revise the "Last Updated" date at the top of this document.

It is your responsibility to review these Terms periodically. Continued use of the Service after changes are published constitutes your explicit acceptance of the revised Terms.
